Ms. Neha Yadav, has over eight years of experience in areas of Mergers & Acquisition, Venture Capital & Private Equity, General Corporate and Commercial laws.
Till August 2014, Neha was part of the General Corporate, Private Equity and Acquisitions practice at Amarchand & Mangaldas, New Delhi as a Senior Associate. After that, she worked with LexCounsel Law Offices, as a Senior Associate (and later on as a Principal Associate) in their corporate-commercial practice.
She has regularly advised private equity/ venture capital funds and investors and has worked on numerous cross-border transactions and investments. She regularly structures and advises on complex transactions, regulatory requirements and assists in due diligence investigations/regulatory audits, risk assessment, transactional structuring, business and asset transfers, foreign investment and regulatory/licensing issues including SEBI registration and FIPB approvals and other contractual arrangements. She has also assisted various clients in post transaction compliances; contract management issues; on aspects of corporate governance, corporate maintenance; statutory and secretarial compliances, employment laws etc.
She has also advised clients across sectors such as in the Real Estate Sector on construction-development agreements, sale deeds, lease and license arrangements and other property transactions; in the Defence Sector on offset policy related issues and general requirements under the defence procurement procedures; in the Education Sector on structuring issues, contractual arrangements; fee regulations; safety and security policies; in the E-commerce Sector vis-à-vis clients operating online platforms/websites to provide services or acting as aggregator of services, on all kinds of legal issues, contractual arrangements with vendors, customers and employees; structuring and investment transactions and legal compliances (including aspects of data protection, privacy, confidentiality, security practices and procedures on dealing with sensitive personal data or information etc.).
